These Terms and Conditions (“Terms”) govern the use of services provided by AKP BUILD AND GAIN OPC PRIVATE LIMITED (“Company,” “We,” “Us,” or “Our”). By engaging with our services, you (“Client,” “You,” or “Your”) agree to comply with these Terms. If you do not agree to these Terms, please refrain from using our services.
1. Scope of Services
- The Company provides website design and development, digital marketing, ads management, hosting services, and related IT solutions.
- All services will be rendered as per the mutually agreed project scope and timelines.
2. Payment Terms
- All payments must be made in advance unless otherwise agreed upon in writing.
- Once payment is made, it is non-refundable under any circumstances.
3. Termination of Services
- The Company reserves the right to terminate any project or service at any time without providing a reason.
- In case of termination by the Company, no refunds will be issued for payments already made.
4. Client Responsibilities
- The Client must provide accurate and complete information required for the execution of the project.
- Any delays caused by the Client in providing necessary inputs may result in project delays for which the Company will not be held liable and the company can change any amount as delay or late fee if the project due date or completion date is over.
5. Intellectual Property
- Unless otherwise stated, all intellectual property rights for deliverables created by the Company remain with the Company until full payment is received.
- Upon full payment, intellectual property rights for deliverables will transfer to the Client unless otherwise agreed in writing.
6. Confidentiality
- Both parties agree to maintain confidentiality regarding sensitive business information shared during the course of the project.
- The Company reserves the right to use completed projects for portfolio purposes unless explicitly restricted by the Client in writing.
7. Limitation of Liability
- The Company shall not be held liable for any direct, indirect, incidental, or consequential damages arising out of the use or inability to use its services.
- The Company’s total liability under any circumstance shall not exceed the amount paid by the Client for the specific service.
8. Project Modifications
- Any changes or additions to the agreed project scope will be treated as a separate task and may incur additional charges.
- All modifications must be documented and agreed upon by both parties.
9. Indemnification
The Client agrees to indemnify and hold harmless AKP BUILD AND GAIN OPC PRIVATE LIMITED from any claims, damages, losses, or expenses arising from:
- Misuse of deliverables.
- Breach of these Terms by the Client.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of courts located in West Bengal, India.
11. Amendments
The Company reserves the right to amend these Terms at any time without prior notice. Continued use of our services constitutes acceptance of any revised Terms.
12. Disclaimer
The Company does not guarantee specific results from its services. All deliverables are provided on an “as-is” basis without warranties of any kind.
